Super Private Staff

These Terms and Conditions ("Terms") govern the provision of recruitment and placement services by Super Private Staff ("we," "us," or "our") to you, the client ("you" or "Client"). By engaging our services, you agree to be bound by these Terms. Please read them carefully.
1. Definitions
Candidate: An individual introduced by Super Private Staff to the Client for potential employment.
Placement: The successful hiring of a Candidate by the Client, whether on a permanent, temporary, or contract basis, as a direct result of our services.
Annual Salary: The Candidate’s gross annual compensation, including base salary and any guaranteed bonuses, but excluding discretionary bonuses, benefits, or other incentives unless otherwise agreed in writing.
Fees: The charges payable by the Client for our services, as outlined in Section 4.
Contract: The agreement signed by the Client prior to the commencement of our search services, incorporating these Terms.
2. Services
2.1 Super Private Staff provides recruitment and placement services to identify, screen, and introduce Candidates for employment with the Client.
2.2 We will conduct a search for suitable Candidates based on the Client’s specifications, as agreed in the Contract.
2.3 We do not guarantee the suitability of any Candidate for the Client’s needs. The Client is responsible for verifying the Candidate’s qualifications, references, and suitability prior to Placement.
3. Client Obligations
3.1 The Client must sign a Contract with Super Private Staff before we commence any search or recruitment activities.
3.2 The Client agrees to provide accurate and complete information regarding the job role, requirements, and any other relevant details to enable us to perform our services effectively.
3.3 The Client must notify us promptly upon the Placement of a Candidate and provide details of the Candidate’s Annual Salary for the purpose of calculating Fees.
3.4 The Client agrees not to directly or indirectly engage any Candidate introduced by us without paying the applicable Fees, as outlined in Section 4.
4. Fees and Payment
4.1 Fee Structure: Our Fees are 15% of the Candidate’s Annual Salary (inclusive of VAT) for each successful Placement.
4.2 Payment Terms: Fees are due and payable in full within 14 days of the Candidate’s start date with the Client, as confirmed by the Client or Candidate. An invoice will be issued upon Placement.
4.3 Late Payment: If payment is not received by the due date, we reserve the right to charge interest on overdue amounts at a rate of 4% above the base rate of the Bank of England per annum, calculated daily, until payment is received in full.
4.4 Additional Placements: If the Client hires a Candidate for a different role or engages the same Candidate within 12 months of our introduction for any other position, additional Fees will apply at the same rate of 15% of the new Annual Salary.
4.5 Non-Payment: Failure to pay Fees may result in legal action to recover the owed amount, and the Client will be liable for any reasonable costs incurred by us in pursuing such action, including legal fees.
5. Replacement Guarantee
5.1 If a Candidate placed by us leaves the Client’s employment within 30 days of their start date for reasons other than redundancy, restructuring, or changes in employment terms by the Client, we will endeavour to find a replacement Candidate at no additional Fee, provided:
All Fees for the original Placement have been paid in full and on time.
The Client notifies us in writing within 7 days of the Candidate’s departure.
The job role and requirements remain substantially the same as the original Placement. 5.2 This replacement guarantee is limited to one replacement search per Placement and does not include refunds of Fees paid for the original Placement.
6. Confidentiality
6.1 All information provided by Super Private Staff, including Candidate details and profiles, is confidential and may only be used for the purpose of evaluating Candidates for employment.
6.2 The Client agrees not to disclose any confidential information to third parties without our prior written consent, except as required by law.
6.3 We will treat all information provided by the Client as confidential and will not disclose it to third parties, except as necessary to perform our services or as required by law.
7. Liability
7.1 Super Private Staff is not liable for any loss, damage, or expense incurred by the Client arising from:
The actions, omissions, or performance of any Candidate placed with the Client.
The Client’s failure to verify a Candidate’s qualifications, references, or suitability.
Any inaccuracies in information provided by Candidates or third parties. 7.2 Our total liability to the Client, whether in contract, tort, or otherwise, is limited to the Fees paid by the Client for the Placement in question. 7.3 We are not liable for any indirect, consequential, or special losses, including but not limited to loss of profits, revenue, or business opportunities.
8. Termination
8.1 Either party may terminate the Contract by providing 30 days’ written notice to the other party.
8.2 Termination does not affect the Client’s obligation to pay Fees for any Placements made prior to or within 12 months following termination, where the Candidate was introduced by us.
8.3 We may terminate the Contract immediately if the Client breaches any material term of these Terms, including non-payment of Fees.
9. Force Majeure
9.1 Super Private Staff is not liable for any delay or failure to perform its obligations due to events beyond its reasonable control, including but not limited to acts of God, strikes, government restrictions, or pandemics.
10. Governing Law and Jurisdiction
10.1 These Terms and any disputes arising from them are governed by the laws of England and Wales.
10.2 Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Miscellaneous
11.1 Entire Agreement: These Terms, together with the Contract, constitute the entire agreement between the parties and supersede any prior agreements or understandings.
11.2 Amendments: We reserve the right to amend these Terms at any time. Updated Terms will be provided to the Client and will apply to all new Contracts signed after the update.
11.3 Assignment: The Client may not assign or transfer its rights or obligations under these Terms without our prior written consent.
11.4 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
11.5 No Partnership: Nothing in these Terms creates a partnership, joint venture, or agency relationship between the parties.
